2010/11/23 City Council Resolution 2010-130RESOLUTION NO. 2010-130 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK APPROVING AN AMENDMENT TO THE LEASE AGREEMENT WITH OLD ADOBE DEVELOPMENTAL SERVICES (GADS) FOR CDC -OWNED OFFICE SPACE LOCATED AT 100 ENTERPRISE DRIVE, SUITE B (COMMONLY KNOWN AS 6800 HUNTER DRIVE) WHEREAS, the Community Development Commission ( "CDC ") of the City of Rohnert Park, owns the real property located at 100 Enterprise Drive, Suite B (commonly known as 6800 Hunter Drive), Rohnert Park, California (adjacent to the Senior Center) which is currently vacant; and WHEREAS, the City of Rohnert Park ( "City ") is authorized to sublease property owned by the CDC. WHEREAS, City and OADS have previously executed an office lease agreement dated July 27, 2010 (the "Lease ") and desire to amend the Lease. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert Park that it does hereby authorize and approve amendments to the lease agreement with Old Adobe Developmental Services (OADS) for the CDC -owned office space located at 100 Enterprise Drive, Suite B (commonly known as 6800 Hunter Drive). BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed to execute documents pertaining to same for and on behalf of the City of Rohnert Park. Landlord and Tenant are hereafter collectively referred to as the "Parties." RECITALS WHEREAS, the Community Development Commission ( "CDC ") of the City of Rohnert Park, owns the real property located at 100 Enterprise Drive, Suite B (commonly known as 6800 Hunter Drive), Rohnert Park, California (the "Property "), as more particularly described in Exhibit A attached hereto and incorporated herein by this reference. WHEREAS, the City of Rohnert Park is authorized to sublease property owned by the CDC. WHEREAS, Property includes certain rentable office space (the "Premises "), as depicted in Exhibit B attached hereto and incorporated herein by this reference. WHEREAS, Landlord and Tenant have previously executed that certain office lease agreement dated July 27, 2010 (the "Lease "). WHEREAS, Landlord and Tenant have agreed to make certain modifications to the Lease. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Landlord and the Tenant hereby agree to amend the Lease Agreement as follows: 1. Amend Lease title from "OFFICE LEASE" to: "OFFICE SUBLEASE AGREEMENT BY AND BETWEEN CITY OF ROHNERT PARK AND OLD ADOBE DEVELOPMENTAL SERVICES (GADS)." 2. Amend ownership and address number references in "RECITALS, Section A" to read: "The Community Development Commission ( "CDC ") of the City of Rohnert Park, owns the real property located at 100 Enterprise Drive, Suite B (commonly known as 6800 Hunter Drive) (the "Property "), as more particularly described in Exhibit A attached hereto and incorporated herein by this reference. The City of Rohnert Park is authorized to sublease property owned by the CDC." 3. Amend the real property description in Exhibit A to the Lease by adding the legal property description. 4. Amend "Term Commencement Date" (Article I, Section 1.4 of Lease) as follows: 1.4 Term Commencement Date — December 01, 2010, with a right of possession in favor of Tenant to be effective as of August 02, 2010 for purposes of allowing Tenant improvements, contingent upon completion of Tenant improvements specified in Exhibit E and subsequent inspection by City with said inspection to be performed within three (3) days after Tenant's submission of Notice of Completion to City. Except as modified by the terms of this Amendment, all other terms and conditions of the Sublease shall remain in full force and effect. NOW THEREFORE, Landlord and Tenant executed this Amendment as of the date first written above.
