A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
AUTHORIZING AND ACCEPTING
AT &T (formerly SBC) PROJECT MANAGEMENT PROJECT PLAN
FOR Cisco Network Equipment
BE IT RESOLVED by the City Council of the City of Rohnert Park that it does hereby
authorize and accept the Project Management Project Plan by and between AT &T Global
Services, Inc.(formerly SBC), a Delaware corporation, and the City of Rohnert Park, a municipal
corporation, for Cisco Network Equipment,
BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed
to accept this Project Management Project Plan in substantially similar form to the attached
proposal for and on behalf of the City of Rohnert Park.
DULY AND REGULARLY ADOPTED this 13'h day of June, 2006.

OPT -E -MAN
This Project Plan describes the work AT &T will perform for the City of Rohnert Park
1. Product Description
OPT -E -MAN Service is a switched Ethernet service that connects you LAN's within the same
metropolitan area. OPT -E -MAN service provides a fully managed service that uses optical
transport.
OPT -E -MAN service uses our network strength and Cisco equipment to create a scalable optical
service within your metropolitan area. This service provides flexible bandwidth options, from
5mbps to 1 Gbps, to help your growing Ethernet application needs.
OPT -E -MAN service supports many transport data configurations (point -to- point, point -to-
multipoint, multipoint -to- multipoint). It uses physical and virtual connections to satisfy your specific
business requirements.
With OPT -E -MAN service, your multiple locations communicate with each other using a switched
Ethernet solution that supports many different types of business applications.
OrI -E. MAN service uses Ethernet Virtual Connections (EVCs) to transmit Ethernet LAN frames
that run over optical fiber to your intraLATA network. The EVCs also transmit to the Internet or a
network -based VPN service. The fiber connects to network terminating equipment at your
location, and you connect to the service using a router, bridge, or switch.
2. Scope of Work
The project scope consists of building a (5) premise OPT -E -MAN network for the City of Rohnert
Park with the central office core network access being at the Santa Rosa Central Office. The
customer will also have a connection to AT &T Internet from the host at 6800 Hunter Dr. with a
10Mbps CIR. The host at Hunter Dr. will have a 100Mbps for the WAN network with the remote
locations each having a 20Mbps connection.
3. Customer Responsibilities
The City of Rohnert Park will provide a single point of contact through which information and
assistance can be obtained rapidly.
The City of Rohnert Park will provide a single point of contact that has authority to work with
AT &T Engineering and AT &T Datacom.
The City of Rohnert Park is responsible for obtaining permission for AT &T to enter the
customer's premises at a mutually agreed upon time if needed.
o The City of Rohnert Park is responsible to ensure CPE is set at full duplex
The City of Rohnert Park will need to re- configure their equipment to rate shape their data to
equal the ordered Bandwidth Usage Rate so that more bandwidth than what is ordered is not
sent to the Ethernet network. If more bandwidth than what is ordered is sent to the Ethernet
network, then the customer will experience a hard drop of their data upon entering the
Ethernet network.

If the customer is connecting to a 3550 port that will not have multiple EVC's assigned to a
10/100 Mbps connection, the AT &T port will require the customer to configure the interfacing
data port with the following:
• Speed set to 100mb (no auto - negotiation)
• Duplex set to full (no auto - negotiation)
• Traffic Shaping /Policing — limit output rate at or below the CIR purchased

6. Success Criteria
The success of this project is measured by the smooth and timely install of the OPT -E -MAN
service. Delays by any of the parties may affect the delivery date of the end product. Timely
communications of any such delays and evaluation of their impacts by the project
managers /coordinators is critical to ensure the overall success of the project.
At the completion of this project, a feedback survey will be sent to the customer to gauge the
overall success of this project. SBC strives to provide nothing less than outstanding
customer service.

8. Communication Plan
The AT &T Project Manager, Venita Jensen , will send project updates to the AT &T Account Team
and The City of Rohnert Parks single point of contact via email. The schedule for ongoing
meetings will be discussed and agreed to during the initial Kick -Off meeting held with the
customer. The purpose of future meetings will be to review progress and surface /resolve issues.
A singe point of contact, David Rowley, has been provided by the customer for project
coordination throughout the project. Separate meetings will also be held with members of the
AT &T Project Team, as needed, to address issues and review project status.
9. Roles and Responsibilities:
Listed are the roles and responsibilities to ensure the timely deliverable of the product to the

Purchase orders shall indicate payment terms of net 30 days from date of invoiceEquipment invoices are issued when Equipment is delivered to
carrier. Service invoices are issued 30 days after services are rendered. Maintenance Service invoices are issued in full on date of contract. The
purchase price is F.O.B. first point of shipment. Title to Equipment and risk of loss pass to Buyer upon delivery to carrier. Licensor retains title to any
software provided with Equipment and grants Buyer a license for the software according to the software license agreement. If Equipment arrives damage(
Buyer will immediately notify the carrier and Seller in writing, Shipping date is estimated. Seller is not liable for any delays or damage in delivery or
shipment.
