2007/04/24 City Council Resolution 2007-71RESOLUTION NO. 2007 -71 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK AUTHORIZING AND APPROVING AMENDMENT NO. 2 TO AGREEMENT WITH WINZLER & KELLY CONSULTING ENGINEERS FOR PROFESSIONAL ENGINEERING SERVICES FOR THE CITY CENTER PEDESTRIAN IMPROVEMENT PROJECT WHEREAS, on May 23, 2006 the City Council approved Resolution No. 2006 -135 approving an agreement for services with Winzler & Kelly Consulting Engineers for engineering and design services to take the Pedestrian Improvement Project from the future City Center Plaza west to Commerce Boulevard along City Center Drive (the "Project ") to the 30% completion phase (the "Agreement "); and WHEREAS, on October 5, 2007, the City entered into Amendment No. 1 to provide for professional services associated with the environmental review documentation and design work necessary for the Project and amending the indemnification language of the Agreement; and WHEREAS, the City desires to amend the Agreement to provide for engineering and design services to a 100% completion phase and to provide construction documents for the Project. NOW THEREFORE BE IT RESOLVED by the City Council of the City of Rohnert Park that it does hereby authorize and approve Amendment No. 2 to the Agreement by and Between Winzler & Kelly Consulting Engineers and the City of Rohnert Park, a municipal corporation, for engineering and design services associated with the development of the Project; and BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed to execute the Amendment, negotiate future changes to the Agreement, and execute any future Amendments necessitated by those changes. WHEREAS, the City entered into an Agreement for Services with Consultant on July 6, 2006 for engineering services associated with the development of the pedestrian improvements along City Center Drive from the future Plaza west to Commerce Boulevard (the "Project "), per City Council Resolution No. 2006 -135 ( "Agreement ") which took the project to 30% completion; and WHEREAS, the City entered into Amendment No. 1 on October 5, 2006 to provide for professional services associated with the environmental review documentation, landscaping work necessary for the Project and amendment to the indemnification Language of the Agreement; and WHEREAS, the City desires to amend the Agreement again to provide for Consultant Services to take the Project to 100% design completion and to provide for construction documents; and NOW, THEREFORE, said City and said Consultant for the considerations hereinafter set forth, mutually agree as follows: SECTION 1 OF THE AGREEMENT IS AMENDED TO READ AS FOLLOWS: 1. SCOPE OF WORK. The Scope of Work of the Agreement is hereby amended to include the additional work specified in the Additional Scope of Work attached as Exhibit "A" SECTION 2 OF THE AGREEMENT IS AMENDED TO READ AS FOLLOWS: 2. COMPENSATION. A. City shall pay Consultant as compensation in full for such services and expenses at the rates set forth in the City Center Drive Design Project Proposal, Project Fee Estimating Sheet, dated April 9, 2007, attached as "Exhibit "A," the total sum for the work is not to exceed $149,949. Progress payments will be tied to completion of tasks so all payments are proportional to the work completed. Payment by City under this Agreement shall not be deemed a waiver of defects, even if such defects were known to the City at the time of payment. B. Consultant shall submit itemized monthly statements for work performed. City shall make any payment due within thirty (30) days after approval of the invoice by City. Payment will be made for the approved amount of the invoice minus ten (10) percent. The ten (10) percent retained by City will be held until 30 days after final completion and acceptance of the contract work. C. Payments due and payable to Consultant for current services are within the current budget and within an available, unexhausted and unencumbered appropriation of the City. In the event the City has not appropriated sufficient fiends for payment of Consultant services beyond the current fiscal year, this Agreement shall cover only those costs incurred up to the conclusion of the current fiscal year; payment for additional work is conditional upon future City appropriation. All remaining provisions of the Agreement and of Amendment No. 1 stand and remain in effect. By: l Name: (Date) Title: E_ A-bit A C O N S U E T I N O _ E N G i N E E R S Ref. 02056 06 015 April 16, 2007 Mr. Ron Bendorff City of Rohnert Park 6750 Commerce Boulevard Rohnert Park, CA. 94928 Re: City Center Drive Design Project Proposal Dear Ron: We are pleased to provide this proposal to the City of Rohnert Park for continued professional engineering services for the City Center Drive Streetscape Project and Project Management of Transportation for Livable Communities (TLC) funding conditions. The limits of the City Center Drive Improvements will begin approximately 450 feet east of the intersection of Padre Parkway and Commerce Boulevard to the proposed City Park Plaza improvements, approximately 1,300 feet. The attached Site Plan (from Page 15 of the TLC Grant Application) shows the area to be included as part of this project. PROJECT UNDERSTANDING The City of Rohnert Park Community Development staff is working to execute a streetscape project on City Center Drive (formerly referred to as City Hall Drive and Padre Parkway). The City has recently received a Transportation and Livable Community (TLC) Grant from the Sonoma County Transportation Authority (SCTA) to fund construction of the project in three (3) phases. This work will be done in conjunction with the City Center Plaza Design Project. The streetscape work is intended to create a Downtown Rohnert Park and provide enhanced appearance, functionality, safety, and infrastructure. To achieve this, Winzler & Kelly will work with Gates and Associates landscape architects, the prime on the City Center Plaza Project. It is understood that the proposed streetscape will include sidewalks, lighting, trees, targeted bulbouts on State Farm Drive at the City Center Drive intersection, drainage, and other similar improvements. The area for the proposed street improvements to City Center Drive will be from the proposed City Center Plaza to 450 feet East of Commerce Boulevard. For the portion of City Center Drive from the plaza to the west property line of the Town Homes Development it is intended that the existing curb, gutter, and sidewalk along the north side of City Center Drive in the area of the two new mixed -use development projects (The Arbor and City Center Town Homes) shall remain in place where possible. The south side street improvements across from the mixed -use development projects in this area will include sidewalk, street lighting and trees, the existing curb and gutter will remain. The landscaping elements will include improvements consistent with current planning documents ( Rohnert Park City Center Concept Plan) and will include street furniture /appurtenatices throughout the street where appropriate. Task 4 Contract Documents Task 5 Project Management Task 6 Construction Services Our proposal and fee is outlined below for your consideration. SCOPE OF WORK TASK 4.0 CONTRACT DOCUMENTS 4.1 60% Plans, Specifications and Opinion of Probable Cost The purpose of this task is to present the preliminary design including planimetrics, typical sections and profiles, and technical specifications for City review and approval. These documents will ultimately be used as the Basis of Design for the Final Design Phases of the project. We will prepare plans and preliminary cost estimates. All design shall be in accordance with City of Rohnert Park Design and Construction Standards. The preliminary plans shall be sufficiently detailed to serve as the basis of the 90% submittal. Technical Specifications will be prepared to establish the minimum level of quality acceptable including relevant reference standards, allowable materials and construction methods, and testing procedures and acceptance requirements. Winzler & Kelly will also provide editing of the City's standard bid and contract forms to meet funding agency requirements and the specifics of the project. Specifications and other document will be prepared using Microsoft Word 2000 software in CSI format. We will prepare preliminary plans and an estimate of probable construction costs for the streetscape improvements proposed along City Center Drive, which will include but are not limited to: 1. Demolition plans 2. Roadway plans (including curb, gutter, and sidewalk) 3. Grading and drainage plans 4. Utility plans 5. Lighting plans 6. Erosion control plans 7. Striping plans Mr. Ron Bendorff April 16, 2007 Page 3 Winzler & Kelly will identify the locations of existing underground utilities that present potential conflicts with the installation of proposed underground improvements (storm drain /etc. and optional Joint Trench (JT). Underground utility location services can be used to field locate underground utilities as an option. The proposed location for a new reclaimed water line in City Center Drive from City Center Plaza to Commerce Boulevard will be shown on the Utility Plan. (Tie in to the existing reclaimed water line may be completed under a separate project.) Winzler & Kelly will utilize existing improvements where possible (curb, gutter, sidewalk) along City Center Drive. 4.2 Storm Water Pollution Prevention Plan (SWPPP) Because the disturbed area is over 1 acre, Winzler & Kelly shall develop the Storm Water Pollution Prevention Plan as a base plan for the contractor's use during construction. A Notice of Intent will be prepared for the City's signature and submittal to the Regional Board. 4.3 90% Plans, Specifications and Opinion of Probable Cost Comments and recommendations provided by the City from the 60% submittal shall be incorporated into the 90% plan set for the improvement plans as part of this Scope of Services. Winzler & Kelly will perform the following work as necessary to complete the detailed design of the project. Design work shall include, but not be limited to, roadway structural sections, street alignment, grades, curbs, gutters, sidewalks, storm drain facilities, utilities as required, pavement delineation, striping and signage, and streetlights. Particular care will be provided in the design of the improvements to ensure acceptable conformance with all adjoining private property improvements and to provide proper conformance with those properties. All design shall be in accordance with City Design and Construction Standards. We will prepare detailed and complete improvement plans for the entire project. Plans will be prepared at a scale of F=20' (unless otherwise approved by the City). Plans shall include, but not be limited to, typical street sections, street improvement plans and profiles, grading plans, demolition plans, construction details, standard details, cross sections, pavement delineation plans, and streetlight plans. We will submit one (1) set of reproducible improvement plans and technical specifications to David Gates and the City for review and approval prior to the preparation of final plans. Mr. Ron Bendorff April 16, 2007 Page 4 4.4 Final Plans, Specifications and Opinion of Probable Cost Comments and recommendations provided by the City from the 90% submittal shall be incorporated into the Final plans as part of this Scope of Services. Winzler & Kelly will finalize the Plans, Technical Specifications and Opinion of Probable Costs to be used as Bid Documents for the City. Quality Control Winzler & Kelly will perform an in -house Quality Control effort, including review by senior staff for the 60 %, 90% and Final plan submittals. It is anticipated that three formal submittals will be made (60 %, 90 %, Final), requiring three plan reviews. We will submit fifteen (15) sets of reproducible improvement plans and technical specifications for each submittal. The third review is understood to be a back -check submittal only. Deliverables: 15 Sets Reproducible Plans (22x34) - Each submittal 15 Sets Technical Specifications (CSI Format) - Each submittal 15 Sets Opinion of Probable Construction Costs Estimate of Costs for Task 4 Construction Documents is $119,895 TASK 5.0 PROJECT MANAGEMENT Project management of the TLC funding requirements will be provided by Winzler & Kelly as the design team lead for the streetscape project. Winzler & Kelly will coordinate with the design team, subconsultants, and the City as required to perform their tasks. At a minimum Winzler & Kelly will provide the following: 5.1 Attend City Review Meetings 5.2 Attend and Participate in Public Meetings 5.3 Coordinate with Agencies and Other Consultants participating with the Project (ROW Acquisition, Traffic Study, Geotechnieal). The City will engage services for a Right of Way (ROW) Acquisition consultant. However, Winzler & Kelly will coordinate with the ROW Consultant and provide necessary information for the process. 5.4 Overall Project Management throughout the project, including Progress Reports and Financial and Project Tracking Mr. Ron Bendorff April 16, 2007 Page 5 Estimate of Costs for Task S Project Management is $7,240 TASK 6.0 CONSTRUCTION SERVICES 6.1 Technical assistance will be provided during the contractor solicitation and award period. Assistance will include the following: • Response to questions from potential bidders during the bid period. • Attendance at pre -bid meeting. 6.2 Up to four (4) site visits at the request of City staff.. 6.3 Respond to up to fifteen (15) Requests for Information (RFI) submitted by City staff. 6.4 Review and respond up to six (6) contract submittals. 6.5 Prepare record drawings following the completion of the project. Record drawings will be completed using clear and accurate markups provided by the contractor. Estimate of Costs for Task 6 Construction Services is $20,639 ASSUMPTIONS 1. No hazardous materials will be encountered within the limits of the work area for City Center Drive Project. 2. No traffic signal or is required for improvements to City Center Drive, or State Farm. However, design will follow recommendations of the .Traffic Study prepared by W- Trans. 3. CAD files for the existing improvement plans along portions of City Center Drive will be provided by the City (if they have them). 4. Environmental permitting, CEQA/NEPA documentation, and mitigations have been prepared by Winzler & Kelly and will be provided as part of the submittal to the Funding Agencies. 5. No geotechnical services are included in our proposal. However, a geotechnical investigation was prepared for the Road Reconstruction for the Town Homes Development. It is assumed that Winzler & Kelly will be provided a copy of this report for design purposes. Coordination with the Geotechnical Consultant that prepared the investigation is included in Task 5.3. 6. The technical specifications will be in CSI format; preparation of the front end documents is not included in this proposal. ADDITIONAL SERVICES: Preparation of the front end documents. Winzler& Kelly can provide this service if requested. 2.
