A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
AUTHORIZING AND APPROVING THE FIRST AMENDMENT TO THE
DESIGN PROFESSIONAL SERVICES AGREEMENT WITH GLASS ARCHITECTS
FOR THE CALLINAN SPORTS AND FITNESS CENTER LOCKER ROOM
REHABILITATION PROJECT
WHEREAS, the City of Rohnert Park and Glass Architects are parties to the Agreement
for Design Professional Services for the Callinan Sports and Fitness Center Locker Room
Rehabilitation Project dated October 8, 2013 ( "Agreement ") which provided for design work on
critically needed upgrades to the locker room facilities; and
WHEREAS, since entering into said Agreement additional funding has, or is expected
to, become available through the 2007R TAB Bonds; and
WHEREAS, City and Glass Architects now desire to enter into an amendment to the
Agreement to provide for additional scope of services to provide for additional upgrades to the
locker room facilities; and
WHEREAS, additional design services for the locker rooms includes: air conditioning
and ventilation, lighting, replacement counters and plumbing fixtures, additional vanities, and
foyer options to meet accessibility requirements.
WHEREAS, additional design professional services in the amendment to the Agreement
shall be for a total amount not to exceed $35,000, which allows for a contingency in the event of
any unexpected design changes.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert
Park that it does hereby authorize and approve the First Amendment to the Agreement for
additional design professional services related to the Sports Center Locker Room Rehabilitation
Project for an amount not to exceed an additional $35,000.
BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed
to take all actions to effectuate this First amendment to the Agreement for and on behalf of the
City of Rohnert Park, including execution, if necessary, in substantially similar form to the First
Amendment to the agreement attached hereto and incorporated by this reference as Exhibit "A,"
subject to minor modifications by the City Manager or City Attorney.

FIRST AMENDMENT TO THE DESIGN PROFESSIONAL SERVICES AGREEMENT
WITH GLASS ARCHITECTS FOR THE CALLINAN SPORTS AND FITNESS CENTER
LOCKER ROOM REHABILITATION PROJECT
THIS FIRST AMENDMENT TO THE AGREEMENT between the CITY OF ROHNERT
PARK ( "City "), a California municipal corporation, and Glass Architects, ( "Design
Professional ") for additional design professional services ( "First Amendment ") is entered into as
of the 9t1' day of September, 2014, ( "Effective Date "), by and between City and Design
Professional.

WHEREAS, City and Design Professional are parties to the Agreement for Design
Services for the Callinan Sports and Fitness Center Locker Room Rehabilitation Project dated
October 8, 2013 ( "Agreement "); and
WHEREAS, since entering into said Agreement additional funding has, or is expected to,
become available snaking it possible to provide for an expanded scope of services to provide for
additional upgrades to the locker room facilities, including air conditioning and ventilation,
lighting, replacement counters and plumbing fixtures, additional vanities, and foyer
options to meet accessibility requirements; and
WHEREAS, the City considered amending the scope of services at a duly
noticed, regular meeting of the City Council on September 9, 2014; and
WHEREAS, City and Design Professional now desire to enter into a First Amendment to
provide for additional scope of services as described below.
AGREEMENT
NOW, THEREFORE, in consideration of the following mutual promises, the parties
hereby amend the Agreement as follows:
1. Scope of Services: In addition to the services provided under the Agreement,
Design Professional shall provide additional services, including but not limited to, design
services for locker rooms including: air conditioning and ventilation, lighting, replacement
counters and plumbing fixtures, additional vanities, and foyer options to meet accessibility
requirements, as described in Exhibit A, which is attached hereto and incorporated by this
reference.
2. Compensation: Design Professional shall perfonn the services described in this
First Amendment for a total amount not to exceed $35,000, said amount allows for a

contingency in the event of any unexpected design changes. The total amount of
compensation under the Agreement and First Amendment shall not exceed [INSERT].
3. Agreement in Effect: Except as amended by this First Amendment, the Agreement
shall remain in full force and effect.
4. Counterpart Signatures: This First Amendment may be signed in multiple
counterparts which, when signed by all parties, shall constitute a binding agreement.
IN WITNESS THEREOF, the parties have executed this First Amendment as of the date

Proposal for Additional Services
Dear Mike:
Pursuant to our several recent meetings and conference calls, lam writing this proposal letter to
identify the full extent of additional services requested by the City and our related fees for
services that are in addition our current scope of services as identified in our Design
Professional Services Agreement, dated October 8, 2013. Please note that the tasks below are
assumed to be undertaken concurrently. Additional expenses would be incurred if the tasks are
separated.
UPGRADED HVAC and LIGHTING for LOCKER ROOMS
Task 1
Upgrade HVAC system to increase ventilation throughout the locker rooms. For these tasks we
propose to utilize TEP Engineering to evaluate the existing system and design modification to
the ventilation system to ensure it meets code and to improve the general performance. We
would also have a balancing survey completed to more accurately determine performance
issues with the current system.
Task 2
This task will evaluate the existing plumbing system to determine if it meets current code, and
specifying new water efficient plumbing fixtures throughout the locker rooms and associated
restrooms, including design of the waste, vent, and supply piping from the new showers to
connect to the existing main lines.
Task 3
In general, this work includes design and specification of the replacement lighting fixtures
throughout the locker rooms, associated restrooms and showers to a more energy efficient
system. The work would also include new fixtures for the grooming station, steam room and
minor modifications necessary to the power system to accommodate the alteration work.
The proposed additional fees for the services noted above are in addition to our original
Agreement, dated October 8, 2013. The fees for the work described herein are based on the
estimated time for the task, with a not -to- exceed amount as follows:
