A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
APPROVING PROPOSED KISCO SENIOR INDEPENDENT LIVING & WELLNESS CAMPUS
PROVIDING RESIDENTS CONGREGATE /RCFE HOME HEALTH CARE SERVICES USE AS
AN ALREADY PERMITTED "OTHER RELATED MEDICAL AND HEALTHCARE USE" IN
ACCORDANCE WITH ARTICLE VIL1, SECTION (A)(6) OF THE ROHNERT PARK
WELLNESS CENTER, LLC GROUND LEASE
WHEREAS, the City entered into a ground lease with the Rohnert Park Wellness Center, LLC
(hereafter referred to as RPWC) on November 24, 1998 ( "Ground Lease "); and
WHEREAS, this lease provided that tenant would develop a Wellness Center Healthcare Campus
on the City's 9.92 acre medical center site and acquire appropriate subtenants to design, pennit, and build
the healthcare campus; and
WHEREAS, RPWC has secured all its subtenants, financing, and a developer and wishes to move
forward to develop the healthcare campus at this time; and
WHEREAS, RPWC is proposing to provide the Elder care component of the healthcare campus
with a Senior Independent living complex with Congregate /RCFE Home Health Care services and
requesting that this use be approved as an already permitted use to provide home health care services under
Article VII.1 (a) (6) of the RPWC ground lease; and
WHEREAS, RPWC is planning to convert all or part of the Congregate /RCFE facility to a State
licensed Assisted Living Facility in the future but is unable to provide a specific date for the conversion;
and
WHEREAS, the Rohnert Park City Council finds that the KISCO master plan proposed,
including the planned conversion to a State licensed Assisted Living Facility, constitutes a medical and
healthcare use under Article VII.1 (a)(6) of the RPWC ground lease.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert Park as follows:
SECTION ONE. If implemented in accordance with the following terms and conditions, the proposed
Kisco Senior independent Living and Wellness Campus Providing Residents Congregate /RCFE Home
Health Care Services Use is an "Other Related Medical and Healthcare Use" in accordance with Article
VII. I Section (a)(6) of the Rohnert Park Wellness Center, LLC Ground Lease:
a. A Development Agreement shall be prepared, signed and approved by the City Council on or
before February 27, 2003;
b. Timelines and criteria shall be established and abided by, that require RPWC to evaluate at
years 3, 5, 7, and 9, converting the Residential Care Facility for the Elderly to a State licensed
Assisted Living Facility. RPWC shall implement the conversion in accordance with the
established timelines if the established criteria are met.

c. RPWC shall be encouraged to offer units in the Residential Care Facility for the Elderly to
Rohnert Park residents first before offering the units to non - residents.
d. RPWC shall submit a phasing pan as part of the Development Agreement. Phase I shall be
used for senior independent living as described in the letter received from Kisco Retirement
Connmunities dated January 12, 2001. The City Council retains the right to approve or
disapprove the use of land identified in Phase II and other phases as may be proposed.
SECTION TWO. The City Attorney is directed to draft amendments to the Ground Lease to add the
provisions described in Section One (a) through (d) of this Resolution.
