A RESOLUTION APPROVING AGREEMENT WITH
JOHN C. DAVIS AND ASSOCIATES
BE IT RESOLVED by the Community Development Agency of the City of
Rohnert Park that that certain agreement entitled "Agreement for
Professional Services to prepare a Redevelopment Plan and Environmental
Impact Report", dated February 10, 1987 between the Community Development
Agency of the City of Rohnert Park and John C. Davis and Associates be and
the same is hereby approved and the Chairman is authorized and directed to
execute same for and on behalf of Agency.

AGREEMENT FOR PROFESSIONAL SERVICES TO PREPARE A REDEVELOPMENT PLAN
AND ENVIRONMENTAL IMPACT REPORT
AGREEMENT made this 10th day of February, 1987, between John C. Davis
and Associates (hereinafter referred to.as "consultant") and the
Rohnert Park Redevelopment Agency (hereinafter referred to as "Agency").
Purpose of Agreement and Job Title
1. The purpose of this Agreement is to state the terms and conditions
uncer which the consultant will provide professional services to the
Agency as a redevelopment consultant.
Consultant's POsponsibilities
2. Consultant agrees to perform those services, tasks, and duties
in consultation with the Executive Director or other appropriate
Agency staff necessary to accomplish the following:
(a) Survey Area -Analysis and Preliminary Redevelopment Plan
(b) Draft Redevelopment Plan and Environmental Impact Report
(c) Fiscal Review Impact Report
(d) Assessment of Conditions
(e) Final Redevelopment Plan/EIR
3. Consultant will complete all work in accordance with the attached
Proposal to prepare a Redevelopment Plan and Environmental Impact
Report for the Rohnert Park Redevelopment Agency. Consihltant will
utilize existing environmental documents and information en litu of
preparing new engineering and technical reports.
4._ Consultant shall complete all work in accordance with a schedule
specified by the Executive Director. Work is to be performed to the
satisfaction of the Agency.
Compensation
5. The Agency pay consultant $22,500 in accordance with the Schedule
attached hereto. Consultant will be paid for work undertaken for
each phase in accordance with the Schedule.
6. Consultant recognizes that he does not become an employee of the
Agency or the City of Rohnert Park by entering into agreement.
Termination and Waiver
7. Either part, without cause, may terminate this Agreement by giving
30 days written notice of termination to the other party.
8. The Agency may terminate this Agreement upon completion of the
products identified in Section 2 of this Agreement. Consultant will be
paid in accordance with the compensation schedule for work completed.
9. This Agreement shall be governed by the laws of the State of
California. It constitutes the entire agreement between the parties
regarding its subject matter.

PROPOSAL TO PREPARE A REDEVELOPMENT PLAN
AND ENVIRONMENTAL IMPACT REPORT
FOR THE ROHNERT PARR REDEVELOPMENT AGENCY
SCOPE -OF WORK
Preparation of Rohnert Park's Redevelopment plan and
Environmental Impact Report is proposed to be completed by July
1987 in order to utilize tax increment accruing in the 1986/87
fiscal year. The process to adopt the Plan by July begins with
designation of a Redevelopment Survey Area and adoption of a
Preliminary Plan. These steps identify the Project Area
boundaries; uncover preliminary land use, environmental, fiscal,
and public services information; and initiates public review and
negotiations with affected taxing agencies. We will carry out a
survey of lana uses to determine redevelopment eligibility as
"urbanized" and "blighted" territory. We will prepare a
Preliminary Redevelopment Plan pursuant to Health and Safety Code
Section 33324, generally describing existing conditions and
impacts of redevelopment activities. We will attend one City
Council meeting for Survey Area designation, and one Planning
Commission meeting for Preliminary Plan adoption.
The Redevelopment Plan itself will set forth in detail the con-
templated redevelopment activities including land uses, building
standards, public improvement goals, funding sources, limitations
on tax increment revenues, and property management. The Plan
becomes the Agency's land use document, financing authorization,
and -charter of powers and therefore will be tailored carefully to
Rohnert Park's needs. It may be appropriate that a Town Hall
meeting be conducted early in the process to explain redevelop-
ment and gain public participation in identifying issues, impro-
vements and opportunities for the Plan. This meeting would
complement the joint. City Council/Redevelopment Agency public
hearing required for Plan adoption. We will prepare the
Redevelopment Plan draft for Agency and City review and comment,
conduct the Town Hall meeting scheduled, and attend the joint
public hearing.
The Environmental Impact Report will accompany the Plan and be
substantively integrated with the Plan. The EIR will describe
existing environmental conditions, assess environmental impacts
and recommend mitigation measures. A Draft EIR will be submitted
for City and Agency review, and for public review and
distribution. Comments will be incorporated into the final draft
EIR for Planning Commission review (jointly with its review of
the Redevelopment Plan) and for City Council/Agency certification
at the joint public hearing. We will prepare the draft EIR,
receive and address comments, and prepare the final EIR.
An important part of the Redevelopment Plan process is fiscal
review with affected taxing agencies. We will prepare a draft

Report identifying fiscal impact information from the Project, to
serve as the basis for consultation and negotiation with affected
agencies. We will attend the County's fiscal review committee as
prescribed pursuant to Section 33353.
THE CONSULTANTS
John C. Davis and Associates will carry out the Scope of Work
described for the Rohnert Park Redevelopment Agency. The
principal consultants include:
John Davis, with 16 years of California local government
experience. He has prepared redevelopment plans for the cities
of Fontana, Victorville and Cotati; and conducted environmental
review for those cities as well as the County of Riverside. He
is a consultant about redevelopment and financial advisor to the
Fontana Redevelopment Agency, the Cotati Redevelopment Agency,
the Riverside County Department of Development, and the Santa
Cruz County Housing Authority. Mr. Davis has a Master of Urban
and Regional Planning from the University of Pittsburgh.
Louise Baker -Davis is formerly a Housing Planner for Santa Cruz
County and Riverside County. She has a Master of City and
Regional Planning from the University of California.
Miker Whipple is President of M. F. Whipple Co. He is experienced
in every aspect of tax exempt financing, and is recognized as one
of the foremost authorities in California on public debt
financing with 16 years of active involvement in the field. Mr.
Whipple is formerly Vice President of Public Debt Financing for
Miller and Schroeder Municipal Securities; and directly the
Assessment Division of Stone and Youngberg. He is a licensed
securities dealer as well as a registered civil engineer, and has
a Master of Business Administration from the University of
California, Los Angeles.
Ron Marquez is a Registered Public Engineer, specializing in
traffic analysis and public works design. He is President of
Ergo Engineering, and former Executive Director of the Santa Cruz
County Transportation Commission.
BUDGET
The total estimated budget for the proposed work is $45,000. The
amount and terms of payment are negotiable. We assume that
substantial environmental and land use information must be
generated by the consultants. However we will assess the City's
general plan documentation, recent environmental records, and

other available documents to discover useful existing information
to reduce the cost. A payment schedule will be negotiated,
including deferral of all or a portion of the.cost. The Agency
is expected to provide all notices, publication, legal descrip-
tions and maps, mailing, ordinances and resolutions as necessary
to complete the process.
SCHEDULE OF ACTIVITIES
Preparation of a timeline for adoption will be the first item of
business following Council approval of the consultant team. We
are conscious of Rohnert Park's desire to capture tax increment
accruing in the 1986/87 fiscal year, and the schedule will be
drawn accordingly. The steps will include:
