2018/01/23 City Council Resolution 2018-006RESOLUTION NO. 2018-006 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK APPROVING THE SECOND AMENDMENT TO THE TRAFFIC SIGNAL MAINTENANCE AND EMERGENCY REPAIR CONTRACT WITH DC ELECTRIC GROUP INC. WHEREAS, the City of Rohnert Park Municipal Code Title 3 Chapter 3.04 provides that the City's purchasing functions shall be governed by the City's purchasing policy, and; WHEREAS, Section 3.6.0 of the City's Purchasing Program established by Resolution 2016-51 adopted on June 4, 2016, provides that a cooperative purchase agreement is an approved method for the City to comply with its contracting and purchasing requirements; and WHEREAS, traffic signal maintenance and emergency repair services are available through a Cooperative Purchase Agreement with the County of Sonoma as per Contract # 1500001208 from DC Electric Group Inc. (DC Electric) of Cotati, California.; and WHEREAS, the City has utilizing the authority of this cooperative purchase agreement to contract with DC Electric since 2014 when it entered into a Traffic Signal Maintenance and Emergency Repair Services contract with DC Electric, providing DC Electric with unique knowledge of and experience with the City's traffic signal system; and WHEREAS, the City is pursuing a capital project to synchronize various traffic signal within the City, which requires upgrading various traffic signal cabinets, interconnect cables, vehicle detection equipment, and ancillary facilities; and WHEREAS, the City is growing and has added traffic signals to its system that are not currently included in the City's contract with DC Electric; and WHEREAS, DC Electric is qualified to maintain the new equipment and upgrade the existing equipment consistent with the City's capital plans; and WHEREAS, staff has solicted and reviewed a proposal from DC Electric for the additional work and determined it is a reasonable proposal for the proposed work; and WHEREAS, the proposed work is included in the City's Traffic Signal System Needs Implementation Project, which has been funded in the City's Fiscal Year 2016-17 and 2017-18 Capital Improvement Program. WHEREAS, the City Council considered this Resolution approving a second amendment to its existing contract with DC Electric ("Second Amendment") at its duly noticed regular meeting on January 23, 2018. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert Park that it does hereby authorize and approve the Second Amendment to its Contract for Traffic Signal Maintenance and Emergency Repair Services with DC Electric Group Inc. for a total amount of $277,065. BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed to take all actions necessary to effectuate this Second Amendment, for and on behalf of the City of Rohnert Park, including execution, if necessary, in substantially similar form Second Amendment to Contract for Traffic Signal Maintenance and Emergency Repair Services attached hereto as Exhibit A, which is incorporated by this reference, subject to minor modifications by the City Manager or City Attorney. This Second Amendment to the Traffic Signal Maintenance and Emergency Repair Contract between the City of Rohnert Park ("City") and DC Electric Group, Inc., ("Contractor") for additional services ("Second Amendment") is entered into as of the day of January, 2018, ("Effective Date"), by and between City and Contractor. RECITALS A. City and Contractor are parties to that certain Agreement entitled "Traffic Signal Maintenance and Emergency Repair Services with DC Electric Group Inc." ("Contract") dated September 9, 2014, and authorized through Resolution No. 2014-106 approved by the City Council on September 9, 2014, for the amount of $76,000 per contract year. B. On October 1, 2017, the City Manager approved the First Amendment to the Contract ("First Amendment") which increased the maximum contract year payment to $82,965 per year and added utility marking services at a rate of $147.37 per hour. C. City and Consultant now desire to enter into this Second Amendment to provide for additional work as described below. AGREEMENT NOW, THEREFORE, in consideration of the following mutual promises, the parties hereby amend the Contract as follows: 1. Scope of Services. In addition to the services provided under the Contract and the First Amendment, Contractor shall provide additional services as described in the attached Exhibits A-1 and A-2. 2. A comprehensive list of equipment to be serviced is listed in Attachment 1. 3. Compensation. Consultant shall perform the services described in Exhibits A-1 and A-2 of this Second Amendment for a total not -to -exceed amount of Two Hundred Seventy Seven Thousand Two Hundred Sixty Dollars and No Cents ($277,065). 4. Agreement in Effect. Unless explicitly amended by this Second Amendment and all previous Amendments, the terms and conditions of the Contract shall remain in full force and effect. 5. Counterpart Signatures. This Second Amendment may be signed in multiple counterparts which, when signed by all parties, shall constitute a binding agreement.
