A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
AUTHORIZING AND APPROVING AMENDMENT 1 TO THE LICENSE
AGREEMENT WITH SONIC TELECOM LLC FOR INSTALLATION AND
MAINTENANCE OF FACILITIES WITHIN THE PUBLIC RIGHT OF WAY
WHEREAS, Sonic Telecom, LLC ("Sonic") is an internet and phone service provider
with headquarters in Santa Rosa, California, that provides fiber service throughout parts of the
Bay Area; and
WHEREAS, on July 9, 2019, the City Council approved a Telecommunications
Facilities License Agreement (License Agreement) with Sonic in the City of Rohnert Park to
install approximately 20,700 linear feet of fiber and 86 new vaults to serve properties with fiber
service in and near the Priority Development Area; and
WHEREAS, Sonic proposes to install an additional 25,815 linear feet of fiber and 49
new vaults to serve properties with fiber service near the City's Industrial-zoned areas around
Labath Avenue and Business Park Drive; and
WHEREAS,the proposed Amendment maintains the License Agreement construction
requirements and relocation requirements for the proposed telecommunication facilities in event
of conflict with public infrastructure together with provisions to extend fiber optic service to the
City's Public Safety Main Building(Emergency Operations Center) at reduced cost to the City.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert
Park that it does hereby authorize and approve an agreement by and between Sonic Telecom
LLC, a California LLC, and the City of Rohnert Park, a municipal corporation, for the
installation and maintenance of facilities within the public right of way.
BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed
to take all actions to effectuate this agreement for and on behalf of the City of Rohnert Park,
including execution, if necessary, in substantially similar form to the agreement attached hereto
as Exhibit"A," subject to minor modifications by the City Manager or City Attorney.

AMENDMENT 1 TO TELECOMMUNICATIONS FACILITIES LICENSE AGREEMENT

SECTION 1 – PURPOSE
The purpose of this Amendment 1 to the Telecommunications License Agreement
(“Amendment”) is to grant a License to and authorize Sonic Telecom, LLC (“Licensee”) to
install additional Licensee Facilities, which are further specified in Section 2 below, subject to all
provisions of the Telecommunications Facilities License Agreement, approved on July 9 , 2019,
(“License Agreement”) by and between the City of Rohnert Park (“City”) and Licensee.
SECTION 2 – AMENDMENT OF LICENSE, VICINITY MAP, AND LICENSEE
FACILITIES
The License defined and granted to Licensee in Paragraph 2 of the License Agreement, and the
Licensee Facilities defined in Paragraph 2, is hereby amended to also include the facilities
described in this section in addition to the Licensee Facilities originally permitted pursuant to the
License Agreement.
The License Agreement is amended to append Exhibit A to this Amendment to the existing
Exhibit 1 – Vicinity Map, which together shall be considered Exhibit 1 to the License
Agreement.
The License Agreement is amended to append Exhibit B to this Amendment to the existing
Exhibit 2 of the License Agreement, which depicts Licensee Facilities, and which together shall
be considered Exhibit 2 to the License Agreement. Exhibit B to this amendment includes the
plans and specifications dated November 27, 2019 for project name 1925 West Tarsier, and
depicts approximately 25,815 feet of boring, 210 feet of trenching, and construction of an
additional 49 vaults with associated restoration work, and a revised 2 pages (sheets 27 and 28)
for the Tersier Business Park plans as provided by Licensee, illustrating the construction of a
fiber optic line connecting to the Public Safety Main Building at 500 City Center Drive, Rohnert
Park, California.
SECTION 3 – CONSIDERATION FOR LICENSE OF NON-RIGHT OF WAY AREA
In consideration for grant of a license on City property outside of the public right-of-way as
depicted in Exhibit B of this Amendment, the mutual covenants set forth in this Amendment and
other good and valuable consideration, the sufficiency of which is hereby acknowledged by
Licensee, Licensee agrees to construct a fiber-optic line connecting to the Department of Public
Safety Building located on 500 City Center Drive at no cost to the City. Following completion of
such construction, Licensee also agrees to offer a dedicated fiber optic broadband service to the
City, with speeds up to 50 Mbps for both upload and download speeds, at a rate of $350/ month
for an initial period of four years. Nothing in this Amendment shall obligate the City to purchase
such service from the Licensee.
SECTION 4 – TERMS AND CONDITIONS
Unless expressly modified herein, all terms and conditions contained in the License Agreement
shall remain in full force and effect. Unless specifically defined in this Amendment, all terms
used in this Amendment shall have the meanings set forth in the License Agreement.

4.ALL SIDEWALK, CURB, AND GUTTER SHALL BE REMOVED AND REPLACED TO THE NEAREST
SCORE MARK OR AS DIRECTED BY THE ENGINEER. INSTALLATION OF NEW SIDEWALK, CURB &
GUTTER AGAINST EXISTING IMPROVEMENTS SHALL REQUIRE A SIDEWALK CONTACT JOINT (DOWELS
REQUIRED).
5.PARTIAL REPLACEMENT OF A DRIVEWAY IS NOT ALLOWED. A DRIVEWAY THAT HAS BEEN CUT
OR DAMAGED MUST BE REPLACED IN ITS ENTIRETY. THE NEW REPLACEMENT DRIVEWAY MUST MEET
CURRENT CITY STANDARDS WHICH AFFECT ON-SITE IMPROVEMENTS AND/OR REQUIRE A SIDEWALK
EASEMENT.
6.UNLESS OTHERWISE DIRECTED BY THE CITY ENGINEER IN THE FIELD: AT EACH LOCATION
WHERE NEW CURB/GUTTER IS TO BE INSTALLED ON AN EXISTING STREET (DRIVEWAY INSTALLATION,

PAVEMENT RECONSTRUCTION SHALL BE REQUIRED. AN 18-INCH WIDE BAND OF PAVEMENT SHALL BE
REMOVED AND REPLACED ALONG THE ENTIRE LENGTH OF CURB/GUTTER INSTALLATION. REMOVAL
DEPTH (SAW CUTS REQUIRED) SHALL BE TO THE BASE MATERIAL ON STREET WITH A.C. OR P.C.C.
PAVEMENT FOUR (4) INCHES OR LESS IN THICKNESS. REMOVAL DEPTH SHALL BE TWO (2) INCHES
MINIMUM ON STREETS WITH A.C. (GRIND) AND FOUR (4) INCHES MINIMUM ON STREETS WITH P.C.C.
(SAW CUT) PAVEMENT THICKNESS GREATER THAN FOUR (4) INCHES. REPLACE WITH A.C. OR P.C.C.

7.THE CONTRACTOR SHALL NOTIFY, BY CIRCULAR, ALL BUSINESS ESTABLISHMENTS 8,
RESIDENCES LOCATED IN AREAS AFFECTED BY THE WORK AT LEAST (48) HOURS PRIOR TO START OF
CONSTRUCTION. CIRCULAR SHALL BE SUBJECT TO THE APPROVAL OF THE CITY ENGINEER.
8.ALL MANHOLES, VALVE BOXES, MONUMENT BOXES, AND OTHER STRUCTURES IN THE
PAVEMENT AREA SHALL BE ADJUSTED TO FINISH GRADE BEFORE PAVING FINAL LIFT.
9.GRADE BREAKS ON CURBS AND SIDEWALKS ARE TO BE ROUNDED OFF ON FORM WORK &
FINISHED SURFACING.
10.IT IS THE CONTRACTORS RESPONSIBILITY TO REPLACE ALL STREET MONUMENTS OR LOT
CORNER PIPES DISTURBED DURING THE PROCESS OF CONSTRUCTION. IF A STREET MONUMENT HAS
THE POTENTIAL OF BEING DISTURBED, A CORNER RECORD SHALL BE FILED WITH CONTRA COSTA
COUNTY SURVEYOR (PER SECTION 8773.2 OF THE PUBLIC LAND SURVEYORS ACT) AS REQUIRED BY
THE SUBDIVISION MAP ACT TO PRESERVE THE LOCATION OF SAID STREET MONUMENT. CONTRACTOR
SHALL, AT HIS/HER EXPENSE, HIRE A CIVIL ENGINEER OR LAND SURVEYOR TO PERFORM THE WORK.
11.ALL SURPLUS & UNSUITABLE MATERIAL SHALL BE REMOVED FROM PUBLIC RIGHT OF WAY.
12.CONTRACTOR SHALL PROVIDE ADEQUATE DUST CONTROL & KEEP MUD 8. DEBRIS OFF THE
PUBLIC RIGHT OF WAY AT ALL TIMES.
13.ALL TRENCHES & EXCAVATIONS SHALL BE CONSTRUCTED IN STRICT COMPLIANCE WITH THE
APPLICABLE SECTIONS OF CALIF. 8. FEDERAL O.S.H.A. REQUIREMENTS & OTHER APPLICABLE SAFETY
ORDINANCES. CONTRACTOR SHALL BEAR FULL RESPONSIBILITY FOR TRENCH SHORING DESIGN 8,
INSTALLATION.
14.EXISTING UTILITIES SHOWN ARE BASED UPON RECORD INFORMATION & ARE APPROXIMATE IN
LOCATION & DEPTH. THE CONTRACTOR SHALL POTHOLE ALL EXISTING UTILITIES THAT MAY BE
AFFECTED BY NEW FACILITIES IN THIS CONTRACT, VERIFY ACTUAL LOCATION & DEPTH, & REPORT
POTENTIAL CONFLICTS TO THE ENGINEER PRIOR TO EXCAVATING FOR NEW FACILITIES.
15.CONTRACTOR SHALL PERFORM HIS CONSTRUCTION AND OPERATION IN A MANNER, WHICH WILL
NOT ALLOW HARMFUL POLLUTANTS TO ENTER THE STORM DRAIN SYSTEMS. TO ENSURE
COMPLIANCE, THE CONTRACTOR SHALL IMPLEMENT THE APPROPRIATE BEST MANAGEMENT
PRACTICE (BMP) AS OUTLINED IN THE BROCHURES ENTITLED ³%(67 MANAGEMENT PRACTICE FOR
THE CONSTRUCTION INDUSTRY" ISSUED BY THE CITY OF BRENTWOOD NONPOINT SOURCE POLLUTION
