2022/03/08 City Council Resolution 2022-028 RESOLUTION NO. 2022-028 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK APPROVING A MASTER SERVICES AGREEMENT AND TANK ORDER 2022-01 WITH DEBORAH YACOBELLIS FOR TECHNICAL SUPPORT OF THE CITY'S PERMITTING AND FINANCIAL SYSTEMS WHEREAS, the City's permitting system (Trakit), enterprise financial system (Tyler Munis) and Geographic Information System (GIS)need to be coordinated based on a central property file to maximize efficiency and minimize errors in the City's business systems; and WHEREAS, these systems are relational databases utilizing structured query language (SQL); and WHEREAS, staff does not have the technical expertise to efficiently develop an integration plan for these systems without outside assistance; and WHEREAS, Deborah Yacobellis is a technical consultant who has been assisting the City with management of its permitting system and who has the expertise to assist the City with the desired integration activities; and WHEREAS, consistent with the City's Purchasing Policy, Deborah Yacobellis has demonstrated both the qualifications and the capacity to assist the City and pursuant to Section 3.6.6 of the City's Purchasing Policy, has provided a proposal and negotiated the scope of services and budget with staff. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert Park that it does hereby approve a Master Services Agreement for Consultant Services with Deborah Yacobellis in an amount not to exceed fifteen thousand dollars and no cents ($15,000.00) and Task Order No.2022-01 for work on the Munis Central Property File with Deborah Yacobellis in the amount of forty-five thousand dollars and no cents ($45,000). BE IT FURTHER RESOLVED that the City Manager is hereby authorized and directed to take all actions to effectuate this Resolution for and on behalf of the City of Rohnert Park, including execution of Master Services Agreement, in a form substantially similar to Exhibit "A," and Task Order 2022-01, in a form substantially similar to Exhibit "B", subject to minor modifications by the City Manager or City Attorney. Key responsibilities include, but are not limited to: Development Services a) Create and modify reports as requested (run lists, summary reports, automated letters, etc.) b) Manage Data Conversion (Access, SQL Server, Excel) c) Manage UM modifications • user rights • merge documents • custom fields • fees • inspections • new permit / project types d) Central Square database maintenance e) Central Square module setup to support new or existing business practices f) Automation of regular update activities g) Central Square Integration with County systems and City’s financial management system MUNIS / GIS Integration a) Assist with creation of a Central Property File for the City b) Maintain Community Development parcel and addresses with the use of automated scripts c) Integration Community Development with GIS Compensation: 2023 Rate of pay: $200 per hour, to be increased annually based on the CPI (Consumer Price Index) Inflation Calculator. Exhibit A Exhibit B OAK #4844-6469-8375 v105 EXHIBIT B INSURANCE REQUIREMENTS for Consultant Services Agreement Consultant shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the Consultant, its agents, representatives, or employees. MINIMUM SCOPE AND LIMIT OF INSURANCE Coverage shall be at least as broad as: 1. Commercial General Liability (CGL): Insurance Services Office Form CG 00 01 covering CGL on an “occurrence” basis, including products and completed operations, property damage, bodily injury and personal & advertising injury with limits no less than $1,000,000 per occurrence. If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall be twice the required occurrence limit. 2. Automobile Liability: Insurance Services Office Form Number CA 0001 covering, Code 1 (any auto), or if Consultant has no owned autos, Code 8 (hired) and 9 (non- owned), with limit no less than $1,000,000 per accident for bodily injury and property damage. 3. Workers’ Compensation insurance as required by the State of California, with Statutory Limits, and Employer’s Liability Insurance with limit of no less than $1,000,000 per accident for bodily injury or disease. (Not required if consultant provides written verification it has no employees) 4. Professional Liability (Errors and Omissions) Insurance appropriates to the Consultant’s profession, with limit no less than $2,000,000 per occurrence or claim, $2,000,000 aggregate. If the Consultant maintains broader coverage and/or higher limits than the minimums shown above, the City requires and shall be entitled to the broader coverage and/or the higher limits maintained by the Consultant. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City. Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain, the following provisions: Additional Insured Status The City, its officers, officials, employees, and volunteers are to be covered as additional insureds on the CGL policy with respect to liability arising out of work or operations performed by or on behalf of the Consultant including materials, parts, or equipment Exhibit B OAK #4844-6469-8375 v105 furnished in connection with such work or operations. General liability coverage can be provided in the form of an endorsement to the Consultant’s insurance (at least as broad as ISO Form CG 20 10 11 85, or both CG 20 10, CG 20 26, CG 20 33, or CG 20 38; and CG 20 37 forms, if later revisions used). Primary Coverage For any claims related to this contract, the Consultant’s insurance coverage shall be primary insurance primary coverage at least as broad as ISO CG 20 01 04 13 with respect to the City, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees, or volunteers shall be excess of the Consultant’s insurance and shall not contribute with it. Notice of Cancellation Each insurance policy required above shall state that coverage shall not be canceled, except with notice to the City. Waiver of Subrogation Consultant hereby grants to City a waiver of any right to subrogation which any insurer of said Consultant may acquire against the City by virtue of the payment of any loss under such insurance. Consultant agrees to obtain any endorsement that may be necessary to effect this waiver of subrogation, but this provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Self-Insured Retentions Self-insured retentions must be declared to and approved by the City. The City may require the Consultant to provide proof of ability to pay losses and related investigations, claim administration, and defense expenses within the retention. The policy language shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the named insured or City. Acceptability of Insurers Insurance is to be placed with insurers authorized to conduct business in the state with a current A.M. Best’s rating of no less than A:VII, unless otherwise acceptable to the City. Claims Made Policies If any of the required policies provide coverage on a claims-made basis: 1. The Retroactive Date must be shown and must be before the date of the contract or the beginning of contract work. 2. Insurance must be maintained and evidence of insurance must be provided for at least five (5) years after completion of the contract of work. Exhibit B OAK #4844-6469-8375 v105 3. If coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a Retroactive Date prior to the contract effective date, the Consultant must purchase “extended reporting” coverage for a minimum of five (5) years after completion of contract work. Verification of Coverage Consultant shall furnish the City with original Certificates of Insurance including all required amendatory endorsements (or copies of the applicable policy language effecting coverage required by this clause) and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements to City before work begins. However, failure to obtain the required documents prior to the work beginning shall not waive the Consultant’s obligation to provide them. The City reserves the right to require complete, certified copies of all required insurance policies, including endorsements required by these specifications, at any time. Exhibit A OAK #4844-6469-8375 v105 CERTIFICATE OF CONSULTANT I HEREBY CERTIFY that I am the __________________________________, and a duly authorized representative of the firm of _____________________________________, whose address is ______________________________________________________, and that neither I nor the above firm I here represent has: a) Employed or retained for a commission, percentage, brokerage, contingent fee, or other consideration, any firm or person (other than a bona fide employee working solely for me or the above consultant) to solicit to secure this Agreement. b) Agreed, as an express or implied condition for obtaining this contract, to employ or retain the services of any firm or person in connection with carrying out the Agreement; or c) Paid, or agreed to pay, to any firm, organization or person (other than a bona fide employee working solely for me or the above consultant) any fee, contribution, donation, or consideration of any kind for, or in connection with, procuring or carrying out the Agreement; Except as here expressly stated (if any); I acknowledge that this certificate is subject to applicable State and Federal laws, both criminal and civil. _________________ ___________________________________ Date Signature Exhibit B TASK ORDER NO. 2022-01 CITY OF ROHNERT PARK AND DEBORAH YACOBELLIS AUTHORIZATION TO PROVIDE TECHNICAL SUPPORT SERVICES FOR THE MUNIS CENTRAL PROPERTY FILE SECTION 1 – PURPOSE The purpose of this Task Order is to authorize and direct DEBORAH YACOBELLIS to proceed with the work specified in Section 2 below in accordance with the provisions of the MASTER AGREEMENT between the City of Rohnert Park ("City") and Deborah Yacobellis ("Consultant") hereto dated March 8, 2022. SECTION 2 – SCOPE OF WORK Consultant to assist with the creation of and technical support for the Munis Central Property File for the City. SECTION 3 – COMPENSATION AND PAYMENT Compensation shall be as provided in the MASTER AGREEMENT between the parties hereto referenced in SECTION 1 above. The total cost for services as set forth in SECTION 2 shall be actual costs (time and materials) based on Consultants' standard labor charges in accordance with the provisions of the MASTER AGREEMENT in an amount not-to-exceed forty-five thousand dollars ($45,000.00). SECTION 4 – TIME OF PERFORMANCE The work described in SECTION 2 shall be completed by December 31, 2023, or as extended by the City Manager or the Director of Development Services or his/her designee. SECTION 5 – ITEMS AND CONDITIONS All items and conditions contained in the MASTER AGREEMENT for consultant services between City and Consultant are incorporated by reference.
