A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
APPROVING AMMENDMENT 2 TO THE MAINTENANCE AGREEMENT WITH DC
ELECTRIC GROUP, INC. EXTENDING THE AGREEMENT BY 2 (TWO) YEARS FOR
A TOTAL NOT TO EXCEED $250,000 AND RELATED ACTIONS
WHEREAS, in May 2020, the City Council approved a maintenance agreement. and an
amendment for a total amount of$220,000 with DC Electric Group, Inc.; and
WHEREAS, staff has reviewed monthly invoices for fiscal year 22/23 and have
determined that a contract amendment for an additional $30,000 is required to continue services
for traffic signal maintenance throughout the city for fiscal years 22/23 and 23/24 with the
additional crosswalks and other maintenance services being added; and
WHEREAS, staff recommends executing a second amendment to the contract with DC
Electric to add funding for these services for fiscal years 22/23 and 23 24 and also recommend
extending the contract by 2 years; and
NOW, THEREFORE,BE IT RESOLVED by the City Council of the City of Rohnert
Park that it does hereby authorize and approve a second amendment to the maintenance
agreement by and between DC Electric, a commercial electrical contractor, and the City of
Rohnert Park, a municipal corporation, for the services as shown in Exhibit "A", subject to
minor modifications by the City Manager or City Attorney.
BE IT FURTHER RESOLVED by the City Council of the City of Rohnert Park that it
does hereby authorize the City Manager to take all actions necessary to effectuate this approval
including executing the second amendment to the maintenance agreement with DC Electric, Inc.
BE IT FURTHER RESOLVED that the items contemplated in the amended
maintenance agreement are exempt under CEQA Guideline 15301, as the work consists of only
minor alterations, repair, and maintaining operations to existing infrastructure.

SECOND AMENDMENT TO AGREEMENT BETWEEN
DC ELECTRIC GROUP, INC AND THE CITY OF ROHNERT PARK FOR TRAFFIC
SIGNAL MAINTENANCE, EMERGENCY REPAIR SERVICES
This Second Amendment to the Agreement for Traffic Signal Maintenance and Emergency
Repair Services ("First Amendment") is made this 9th day of May, 2023, by and between the DC
Electric Group, Inc. (“Contractor”) and the City of Rohnert Park (“City”).
RECITALS
WHEREAS, the City entered into an agreement for Traffic Signal Maintenance and
Emergency Repair Services with DC Electric Group, Inc., dated May 26, 2020 (the
“Agreement”);
WHEREAS, the Agreement provides for maintenance and repair services for certain
traffic signals for a three (3) year term ending on May 26, 2023 with an extension allowance, and
emergency services as outlined in Exhibit A of the Agreement; and
WHEREAS, compensation under the original Agreement shall not exceed $220,000,
including repairs and emergency services as needed, without authorization from the City, as
outlined in Exhibit B of the Agreement; and
WHEREAS, City and Contractor would like to amend the scope of work to include
additional services, including additional lighted crosswalks, as outlined in “Exhibit 1- Additional
Locations” attached and incorporated herein.
NOW, THEREFORE, IT IS AGREED, as follows:
1. Additional Scope. Attachment 1 of the Agreement is hereby amended to include
the eleven additional pedestrian crossing signals set forth in Exhibit 1 of this
Second Amendment to the maintenance scope of work. Contractor shall perform
the preventative and routine maintenance for such signals as set forth in Exhibit
A, Attachment 2 of the Agreement. Contractor acknowledges that as a result of
this Second Amendment, such preventative and routine maintenance work shall
not be deemed “extra work.”
2. Term Extension. The Agreement is hereby extended until May 26, 2025.
2. Compensation. Attachment 2 is hereby amended to increase the unit quantity of
Item and Unit Cost:
“Preventative and Routine Maintenance for the Forty-Four (44) Signalized
Intersections” shall increase in Unit Price to $200.69, for a monthly total of
$8,830.36 and annual total of $105,964.32.
“Preventative and Routine Maintenance for Fourteen (14) Lighted Pedestrian
Crosswalk Warning Devices” shall refer to Twenty-Two (22) Pedestrian
Crosswalk Warning Devices and increase in Unit Price to $100.35, for a monthly
total of $2,207.70 and annual total of $26,492.40.

The fiscal year not to exceed limit specified in Exhibit B is increased from
$220,000 to $250,000, starting fiscal year 22/23. Compensation to Contractor
under this Agreement, as amended by this Second Amendment, shall not exceed
$250,000 per fiscal year (July to June) without written approval by the City.
All other services related to the eleven additional pedestrian crossing signals that
is not specified in in Exhibit A, Attachment 2 of the Agreement shall be billed on
a time and materials basis in accordance with the “Compensation for Extra Work”
provisions of Exhibit B of the Agreement.
3. Agreement in Full Force and Effect. Except as modified by the terms of this
Amendment, all other terms and conditions of the agreement shall remain in full
force and effect.
NOW, THEREFORE, the City and Contractor execute this Amendment effective as of
the date first written above.
