A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT 4 TO THE
MAINTENANCE AGREEMENT WITH DC ELECTRIC GROUP, INC. EXTENDING
THE AGREEMENT UNTIL JUNE 30, 2026, FOR A TOTAL CONTRACT AMOUNT
NOT TO EXCEED $600,000, DECLARING THE ACTION EXEMPT FROM THE
CALIFORNIA ENVIRONMENTAL QUALITY ACT, AND RELATED ACTIONS
WHEREAS, on May 26, 2020, the City of Rohnert Park City Council approved a traffic
signal maintenance contract with DC Electric Gorup, Inc. ("DC Electric") for maintenance,
repair, and emergency response services for the City's 44 traffic signals as well as the 11 lighted
pedestrian crossings, ("Agreement") for a term of three years ending on May 25, 2023, and for
an amount not to exceed $150,000;
WHEREAS, on April 27, 2021, the City Council approved Amendment 1 to the
Agreement increasing the maintenance budget from $150,000 per year to a amount not to exceed
$220,000 to include additional underground utility locates (USA locates);
WHEREAS, on May 9, 2023, the City Council approved Amendment 2 to the
Agreement, which increased the maintenance cost for the term from $220,000 per year to an
amount not to exceed $250,000 for increased services demands and which extended the term of
the Agreement an additional two years to expire on May 26, 2025;
WHEREAS, on May 28, 2024, the City Council approved Amendment 3 to increase the
maintenance budget from $250,000 per year to an amount not to exceed $300,000 for more USA
locates and added traffic infrastructure that also requires routine maintenance; and
WHEREAS, staff recommends executing a fourth amendment to the Agreement to
extend the term of the Agreement 13 months to June 30, 2026, the end of the City's 2025/26
fiscal year, and to provide additional compensation of $300,000 for those services for a total
contract amount not to exceed $600,000.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Rohnert
Park that it does hereby approve Amendment 4 to the maintenance agreement by and between
DC Electric, a commercial electrical contractor, and the City of Rohnert Park, a municipal
corporation, for the services as shown in Exhibit A, subject to minor modifications as deemed
necessary by the City Manager or City Attorney.
BE IT FURTHER RESOLVED by the City Council of the City of Rohnert Park that it
does hereby authorize the City Manager to take all actions necessary to effectuate this approval,
including executing the fourth amendment to the Agreement.
BE IT FURTHER RESOLVED that the City Council hereby finds that the items
contemplated in the fourth amended maintenance agreement are exempt under CEQA
Guideline 15301, as the work consists of only minor alterations, repair, and maintaining
operations to existing infrastructure.

FOURTH AMENDMENT TO AGREEMENT BETWEEN
DC ELECTRIC GROUP, INC. AND THE CITY OF ROHNERT PARK FOR TRAFFIC
SIGNAL MAINTENANCE, EMERGENCY REPAIR SERVICES
This Fourth Amendment to the Agreement for Traffic Signal Maintenance and Emergency
Repair Services ("Fourth Amendment") is made this 131h day of May, 2025, by and between the
DC Electric Group, Inc. ("Contractor") and the City of Rohnert Park ("City").
RECITALS
WHEREAS, the City entered into an agreement for Traffic Signal Maintenance and
Emergency Repair Services with Contractor, dated May 26, 2020, which provided for
maintenance and repair services for certain traffic signals and emergency services as outlined in
Exhibit A of the Agreement for a three- (3-) year term ending on May 26, 2023, for a total
amount not to exceed $150,000 ("Agreement"); and
WHEREAS, on April 27, 2021, the City Council approved Amendment 1 to the
Agreement increasing the maintenance budget from $150,000 per year to an amount not to
exceed $220,000 to include additional underground utility locates (USA locates); and
WHEREAS, on May 9, 2023, the City Council approved Amendment 2 to the
Agreement, which increased the maintenance cost for the term from $220,000 per year to an
amount not to exceed $250,000 for increased services demands and which extended the term of
the Agreement an additional two years to expire on May 26, 2025; and
WHEREAS, on May 28, 2024, the City Council approved Amendment 3 to increase the
maintenance budget from $250,000 per year to an amount not to exceed $300,000 for more USA
locates and added traffic infrastructure that also required routine maintenance; and
WHEREAS, City and Contractor would now like to amend the term of the Agreement to
end June 30, 2026, and to increase the compensation for that additional work by $300,000 for a
total contract amount not to exceed $600,000.
NOW, THEREFORE, IT IS AGREED, as follows:
1. Term. Section 1.1 of the Agreement is hereby amended as follows: "Subject to the
provisions of Section 8 [Termination] of this Agreement, the term of this Agreement is
extended through and including June 30, 2026."
2. Increasing Scope of Services. Agreement, Exhibit A, Attachment 1 is hereby amended
to add the following language: "Additional maintenance locations may be added in
writing as the City installs more infrastructure."
3. Billing. Agreement, Exhibit A, Attachment 2 shall be amended to add the following
language: "Contractor shall bill for services and expenses on a time and materials basis in

accordance with the `Compensation for Extra Work' provisions of Exhibit B of this
Agreement."
4. Compensation. Agreement, Exhibit B is hereby amended to increase the total
compensation as follows:
The fiscal year not -to -exceed limit is $300,000 for fiscal year 2025/26. Compensation to
Contractor under this Agreement, as amended by this Fourth Amendment, shall not
exceed $600,000 without further written approval by the City.
Agreement in Full Force and Effect. Except as modified by the terms of this Fourth
Amendment, all other terms and conditions of the Agreement shall remain in full force
and effect.
NOW, THEREFORE, the City and Contractor execute this Fourth Amendment
effective as of the date first written above.
