A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROHNERT PARK
AUTHORIZING AND APPROVING THE SECOND AMENDMENT TO CITY
MANAGER EMPLOYMENT AGREEMENT BETWEEN THE CITY OF ROHNERT
PARK AND MARCELA PIEDRA
WHEREAS, on October 25, 2022,the City entered into a City Manager Employment
Agreement Between the City of Rohnert Park and Marcela Piedra("Agreement") to retain her
services as the City Manager beginning January 3, 2023; and
WHEREAS, on June 25, 2024, the City and Marcela Piedra entered into a First
Amendment to the Agreement which modified terms and conditions of the Agreement(Original
Agreement and First Amendment collectively referred to as "Agreement"); and
WHEREAS, the City and Marcela Piedra desire to modify the terms and conditions of
the Agreement.
NOW, THEREFORE,BE IT RESOLVED, that the City Council of the City of
Rohnert Park hereby approves the Second Amendment to City Manager Employment
Agreement between the City of Rohnert Park and Marcela Piedra in substantially the same
form attached hereto as Exhibit "A," which is incorporated herein by this reference.
BE IT FURTHER RESOLVED,that the Mayor is authorized and directed to execute
same for and on behalf of the City of Rohnert Park.
DULY AND REGULARLY ADOPTED by the City Council of the City of Rohnert
Park this 24th day of March, 2026.

SECOND AMENDMENT TO
CITY MANAGER EMPLOYMENT AGREEMENT
BETWEEN THE
CITY OF ROHNERT PARK
AND
MARCELA PIEDRA
1. PARTIES AND EFFECTIVE DATE
The parties to this Second Amendment to the City Manager Employment Agreement
Between the City of Rohnert Park and Marcela Piedra ("Second Amendment") are the
City of Rohnert Park ("City") and Marcela Piedra, an individual (the "City Manager").
The City and the City Manager are sometimes individually referred to as a "Party" and
collectively as "Parties." The effective date of this Second Amendment shall be March
24, 2026.
2. PURPOSE
The parties entered into a City Manager Employment Agreement between the City of
Rohnert Park and the City Manager ("Original Agreement") as of October 25, 2022
which was amended through a First Amendment to Original Agreement on June 25, 2024
(Original Agreement and Fi rst Amendment will be collectively referred to as "Agreement"). The
City and City Manager now desire to amend the Agreement to modify the terms and
conditions of City Manager's employment as City Manager by entering into this Second
Amendment.
3. AMENDMENT TO SECTION 4
Section 4.B(2)(i) of the Agreement is hereby modified in its entirety to read as follows:
(i) In addition to Base Salary, the City Manager shall rec ei ve 6% of Base Salary
placed into a deferred compensation 401(a) account established by the City.
4. AMENDMENT TO SECTION 5
Section 5(A) of the Original Agreement is hereby modified in its entirety to read as
follows:

Term of Agreement. This Agreement shall be extended for an additional
three years and shall be terminated on January 3, 2031, unless terminated
by either party in accordance with this Section. If either Party intends not
to renew or extend the Term at its expiration, the Party shall give notice to
the other Party at least six months prior to the expiration of the Term.
5. GENERAL PROVISIONS
A. This Second Amendment consists of pages 1 through 2 inclusive and constitutes
the entire understanding and agreement of the pa11ies and supersedes all
negotiations or previous agreements between the parties with respect to all or any
part of the terms discussed in this Second Amendment.
B. Except as specifically modified herein, all remaining terms and obligations set
forth in the Agreement between the City of Rohnert Park and the City Manager
shall remain in full force and effect and the Agreement and Second Amendment
shall be jointly referred to as "Employment Agreement."
