Speakers are encouraged to complete a Public Comment card and submit it to the Clerk at the time of the meeting. This helps ensure an orderly and efficient meeting, but it is not required. BACKGROUND: An appropriation is an act by which a named sum of money is set apart and made available for the payment of particular types of claims or demands. The Foundation may accomplish this by adopting a budget or passing an appropriations resolution. If a proposed appropriation exceeds the amount estimated in the budget for such an expenditure, the Board of Directors (Board) should amend the budget to allow for such an appropriation, except where the legal authority to make such amendments was delegated by the Board. The Board adopted the FY 2026-26 City of Rohnert Park Foundation Budget on June 10, 2025, via Budget Resolution 2025-001. ANALYSIS: As part of the mid-year financial review process, departments were directed to review their budgets and were asked to identify operational issues or changes that would impact the remainder of the fiscal year across all funds. The proposed amendments to the Foundation Budget address identified issues and are being brought forward for Board consideration. Proposed budget appropriation amendments are recommended as follows: Concessions Donation The City of Rohnert Park, as a municipal entity, cannot hold a liquor license. To allow beer and wine sales during Performing Arts Center productions, the Rohnert Park Foundation maintains the ABC license for the facility. As a result, all concession purchases are made through the Foundation account, and all related revenue is collected by the Foundation. Because separating alcohol and non-alcohol sales proved impractical, all concession activity flows through the Foundation. BOARD AGENDA REPORT ITEM NO. 5.B. 2 The Foundation then provides a donation to the City’s General Fund equal to the net revenue generated from concessions. The requested appropriation of $30,000 is based on sales for FY 2024-25, that were not donated last fiscal year prior to the closing of the fiscal year. Holiday Gift and Toy Drive In late 2024, the Foundation began a partnership with the Rohnert Park-Cotati Rotary Club and the Rohnert Park Public Safety Officers’ Association (RPPSOA) to serve as the fiscal host for the annual Holiday Gift and Toy Drive. This collaboration allowed the community to make tax-deductible cash and digital donations toward holiday gifts for local families. While the program was initially launched as an administrative effort to meet seasonal deadlines, this item seeks to formally memorialize the Foundation Board’s support of the program and authorize the appropriation of collected proceeds and additional funds need to pay for the cost of toys and merchant fees. ANALYSIS As part of the mid-year financial review process, the Treasurer reviewed the Foundation budgets to identify operational issues or changes that would impact the remainder of the fiscal year. The proposed amendments are to address identified issues and are being brought forward for the Board of Directors consideration. Rohnert Park Foundation Operating • Increase appropriations for Donations to the City of Rohnert Park Performing Arts Center to distribute prior year Concession Sales ($30,000). • Increase appropriations for expenditures incurred to purchase gifts for the toy drive that exceed donations in the Toy Drive Fund and pay for merchant fees. Costs exceeded donation revenue available in the Toy Drive Fund by $2,449. Rohnert Park Foundation Toy Drive • Increase appropriations for expenditures incurred to purchase gifts for the toy drive. This expenditure is offset by donation revenue of an equal amount ($14,468). ENVIRONMENTAL ANALYSIS: This action is exempt from the California Environmental Quality Act (“CEQA”)” because it does not qualify as a “project” pursuant to Public Resource Code Section 21065 and CEQA Guidelines Sections 15320, 15378 and 15061(b)(3), and because it can be seen with certainty that there is no possibility the City’s action would cause either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment. OPTIONS CONSIDERED: 1. Recommended. Approve FY 2025-26 Budget Amendments. Treasurer will be able to update the Foundation budget to cover additional costs for programs supported by the Board. 2. Not Recommended. Do not approve additional appropriations. Budget adjustments will not be. The Treasurer will be unable to follow previous Board direction with regard to Foundation programs. FISCAL IMPACT: The proposed FY 2025-26 Budget Amendments in the amount of $46,917 will be financed by donation revenue received for the toy drive ($14,468) and prior year concession revenue of $30,000 and available Fund Balance in the Rohnert Park Foundation ($2,449). ITEM NO. 5.B. 3 Secretary Approval Date: 5/7/26 Treasurer Approval Date: 04/22/26 City Attorney Approval Date: N/A Executive Director Approval Date: 05/04/26 RESOLUTION NO. 2026-001 A RESOLUTION OF THE CITY OF ROHNERT PARK FOUNDATION AUTHORIZING BUDGET AMENDMENTS TO INCREASE APPROPRIATIONS IN THE AMOUNT OF $46,917 FOR FY 25-26 WITHIN THE ROHNERT PARK FOUNDATION WHEREAS, The Foundation Board of Directors (Board) adopted the FY 2025-26 Budget on June 10, 2025; and, WHEREAS, the Board has the authority to amend the budget; and, WHEREAS, the Executive Director and Treasurer have reviewed and recommended the operational changes to be brought forward to the Board for consideration; and, WHEREAS, the Board desires to increase appropriations for Donations to the City of Rohnert Park Performing Arts Center to distribute prior year Concession Sales ($30,000); and, WHEREAS, the Board desires to increase appropriations for expenditures incurred to purchase gifts for the toy drive and pay for merchant fees due to costs exceeding donation revenue available by $2,449; and, WHEREAS, the Board desires to increase appropriations for expenditures incurred to purchase gifts for the toy drive out of the Toy Drive Fund, and this expenditure is offset by donation revenue ($14,468). NOW, THEREFORE, BE IT RESOLVED by the City of Rohnert Park Foundation Board of Directors that the foregoing recitals are true and correct and that it does hereby authorize budget amendments to increase appropriations in the amount of $46,917 for FY 2025- 26 within the Rohnert Park Foundation. BE IT FURTHER RESOLVED that the Treasurer is authorized to make any administrative adjustments necessary to process the amendments in accordance with generally accepted accounting principles.
